3. Employment Status, Duties and Compensation
Position: General Operations & Support Assistant.
The Employee will provide broad support wherever reasonably required by the Company, including marketing, business communication, customer or team communication, software and website testing, quality assurance support, research, documentation, data entry, administrative support, project coordination, technical support, social media support, and other lawful duties assigned according to business needs.
Initial probation: Three (3) months beginning on the Employment Start Date.
Initial monthly salary: BDT 15,000, subject to lawful deductions and the Company’s payroll procedures.
Upon successful completion of the initial probation, the Company may, after evaluating performance, attendance, conduct, reliability, security compliance and business requirements, increase the monthly salary to BDT 20,000 and continue the Employee under a further evaluation period of up to three (3) months. Any increase or continuation must be confirmed in writing by the Company.
No salary increase, confirmation, permanent status, continued employment, promotion or future adjustment is automatic or guaranteed. All employment decisions remain subject to applicable Bangladesh law.
4. Performance, Attendance and Conduct
The Employee shall perform assigned duties carefully, honestly, professionally and on time; follow lawful instructions; maintain accurate work records; attend scheduled work; communicate delays or absences promptly; cooperate with reviews; and protect the Company’s interests.
Performance may be assessed using work quality, accuracy, productivity, dependability, attendance, communication, teamwork, learning, testing quality, documentation, security compliance and completion of assigned responsibilities.
Unsatisfactory performance, misconduct, repeated absence, dishonesty, refusal of lawful duties, breach of policy or security failures may lead to coaching, warning, suspension, non-confirmation, termination or other lawful action, depending on severity and applicable law.
5. Comprehensive Confidentiality and NDA
The Employee’s confidentiality obligations continue after resignation, termination or any other end of employment.
“Confidential Information” means all non-public information relating to the Company or entrusted to it, whether written, spoken, visual, electronic or otherwise, including:
- source code, object code, scripts, APIs, algorithms, repositories, commits, databases, schemas, architecture, infrastructure, credentials, security controls, logs and backups;
- software, websites, apps, prototypes, designs, wireframes, UI/UX, graphics, Figma files, documentation, test plans, test results, defects, roadmaps and unreleased features;
- business ideas, plans, methods, processes, pricing, finances, sales, marketing, internal policies, operational details, vendors, partners and future projects;
- customer, user, employee, contractor, applicant, supplier and partner identities, records, contact details, communications and personal data;
- passwords, access tokens, keys, authentication methods, server details, domain settings, cloud configurations and incident information;
- AI prompts, model instructions, generated assets, datasets, automation methods and internal use of artificial intelligence;
- meetings, internal discussions, disagreements, management decisions, salaries, reports, files and any information that a reasonable person would understand to be confidential.
The Employee shall not, without prior written authorization, disclose, discuss, publish, copy, photograph, screenshot, download, upload, forward, transmit, sell, license, retain, misuse or permit access to Confidential Information. This includes disclosure to family, friends, former employees, competitors, clients, social media, journalists, public forums or private messaging groups.
The Employee may disclose information only when legally required, and where lawful shall promptly notify the Company before disclosure and disclose only what is legally required.
6. Intellectual Property and Work Product
To the fullest extent permitted by law, all work created, developed, discovered, authored, designed, tested, documented or improved by the Employee within the scope of employment, using Company resources, or relating to Company business (“Work Product”) belongs exclusively to Wefixfy Inc.
Work Product includes code, designs, inventions, databases, documentation, test cases, reports, content, campaigns, graphics, research, processes, configurations, prompts, domain concepts, product concepts and improvements.
The Employee assigns to the Company all transferable rights, title and interest in such Work Product and shall sign further documents reasonably required to confirm Company ownership. The Employee shall not claim ownership, registration, royalties or reuse rights except where expressly agreed in writing.
7. Systems, Accounts and Acceptable Use
- Use only individually assigned accounts. Password sharing is prohibited.
- Use multi-factor authentication when required.
- Do not upload Company information to personal GitHub, GitLab, Bitbucket, email, cloud storage, USB devices or unauthorized services.
- Do not install unauthorized software, disable security, bypass access controls, create backdoors or conceal activity.
- Do not use Company resources for unlawful, abusive, fraudulent or harmful activity.
- Immediately report lost devices, suspicious access, phishing, malware, accidental disclosure or data loss.
Subject to applicable law, the Company may monitor, log, preserve and review activity on Company-owned or Company-managed accounts, equipment, repositories, networks and services for security, compliance, operations and investigation.
8. Data Deletion, Sabotage and Unauthorized Access
The Employee shall not intentionally, maliciously, recklessly or without authorization delete, alter, corrupt, conceal, encrypt, disable, destroy or interfere with Company information, repositories, branches, databases, records, accounts, servers, websites, applications, domains, backups, logs, credentials, devices or other assets.
The Employee shall not lock the Company out of its own systems, change credentials without recording or transferring them, destroy evidence, retain hidden access, or access Company systems after authorization ends.
Accidental deletion or security incidents must be reported immediately. Failure to report may itself constitute misconduct.
9. Liability, Losses and Legal Remedies
If the Employee causes loss through proven fraud, theft, intentional misconduct, malicious damage, unauthorized disclosure, unlawful access, deliberate deletion, sabotage or another unlawful act, the Company may take disciplinary action and seek recovery of proven direct losses, court orders, compensation and other remedies available under applicable Bangladesh law.
No deduction from wages, penalty or recovery will be imposed except through a lawful process and to the extent permitted by applicable law. This Agreement does not create an automatic predetermined fine and does not remove any legal rights or defenses.
10. Company Property and Records
All Company devices, accounts, records, documents, credentials, files, IDs, keys, access cards and materials remain Company property. The Employee shall maintain them carefully and return them immediately on request or when employment ends.
The Employee shall not retain copies and, when directed, shall permanently remove Company information from personal devices or accounts and provide a signed deletion confirmation, except where retention is legally required.
11. Conflicts, Outside Work and Company Relationships
The Employee shall promptly disclose actual or potential conflicts of interest. During employment, the Employee shall not use Company time, resources, Confidential Information or relationships for outside work or personal business without written approval.
The Employee shall not divert Company opportunities, accept secret commissions, misrepresent authority, or independently contract with Company customers or vendors using Company information or relationships.
12. Public Statements, Social Media and Reputation
The Employee may not represent that they speak for the Company, issue media statements, publish internal information, share workplace screenshots, expose client or project information, or use Company brands without authorization.
This clause does not prohibit lawful reporting to authorities, truthful testimony, protected complaints or other rights that cannot lawfully be waived.
13. Personal Information and Verification
The Employee authorizes the Company to collect and retain identity, contact, employment and emergency information for legitimate employment administration, security, payroll, communication, emergency and compliance purposes. The Company shall take reasonable safeguards against unauthorized access or disclosure.
14. Emergency Family Contacts
Provide at least three family or trusted emergency contacts. The Employee confirms they have permission to provide these details.
15. Policy Changes
Wefixfy Inc. may lawfully create, amend, replace, suspend or withdraw workplace policies, operating procedures, security requirements, technology standards, codes of conduct and handbook provisions to address business, security, legal or operational needs.
The Company will communicate material changes through reasonable written or electronic notice. The Employee must review and follow updated lawful policies from their effective date.
Policy changes will not retroactively reduce earned wages or remove non-waivable legal rights. Fundamental employment terms will be changed only through a lawful process.
16. Discipline, Termination and Resignation
Discipline may include coaching, warning, suspension, restricted access, non-confirmation or termination, depending on the facts, severity and applicable law.
Gross misconduct may include theft, fraud, violence, harassment, deliberate data deletion, sabotage, unauthorized access, credential sharing, serious confidentiality breach, falsification, malicious damage, concealment of a security incident or serious refusal of lawful instructions.
Any resignation, notice, termination, final payment and separation process shall comply with the applicable agreement terms and Bangladesh law. Nothing in this document authorizes unlawful dismissal or withholding of earned compensation.
17. Exit Duties and Continuing Obligations
On resignation, termination or request, the Employee shall immediately:
- stop accessing Company systems and accounts;
- return all property, credentials, documents and materials;
- transfer all work, repositories, passwords, notes, contacts and pending-task information;
- delete unauthorized copies and certify deletion if requested;
- cooperate with account handover, security review and exit clearance.
Confidentiality, intellectual-property ownership, non-use of Company information, return/deletion duties, unauthorized-access restrictions, evidence preservation and lawful remedies survive the end of employment.
18. General Legal Terms
Entire Agreement
This Agreement, its signed schedules, acknowledged policies and written amendments constitute the agreement concerning the subjects covered. Mandatory legal rights remain unaffected.
Severability
If a provision is invalid or unenforceable, it shall be limited or severed to the minimum extent required, and the remaining provisions continue.
No Waiver
Failure to enforce a provision once does not waive future enforcement.
Notices
Formal notices may be delivered personally, by recorded courier, official Company email or another documented method permitted by law.
Governing Law
This Agreement is governed by the laws of Bangladesh. Courts or lawful tribunals with jurisdiction in Bangladesh shall resolve disputes, subject to any mandatory statutory process.
Language and Understanding
The Employee confirms they had an opportunity to read, ask questions, obtain independent advice and request an explanation or Bangla translation before signing.
